• Definitions :

Service  Provider – Peacock Financial Advisors Pvt. Ltd.
Service – Providing Insurance Leads from the website “Getmeinsure.com”
Leads –  Insurance Leads from the website Getmeinsure.com.
Visitor – Any person who fills the insurance quote request form on the website   
            Getmeinsure.com
Portal / Website – Getmeinsure.com

• Rights and Duties of “Service Provider” and “Client”

• Peacock Financial Advisors Pvt. Ltd. a company which promotes , manages and maintains the Insurance and Finance portal “Getmeinsure.com”  and would generate inquiries and/or Leads related to insurance from its website and forward Leads to the respective Insurance companies representative’s selected by the visitor on his own will.
• The Leads from the website Getmeinsure.com will be forwarded to you within 3 working days from the date of receiving the request from the visitor.
• The Client will have to intimate the Service Provider about any discrepancy  and/or invalid leads forwarded to the Client within 5 working days from the date of receiving  the Leads.
• In case of Client not intimating  any discrepancy and/or invalid Leads within 5 days it will be assumed to be a valid Lead.
• Once the Client has intimated about a invalid Lead within 5 days the Service Provider would conduct his investigation for the same and If the complaint is found to be true , the Client would not be charged for that invalid Lead.
• This MOU signed between both the parties is only for providing leads through our own website “Getmeinsure.com” for a pre-determined fees fixed , variable or both as agreed by both parties.
• Peacock Financial Advisors Pvt. Ltd reserves the right to hold the services to the Client till the Advance  Amount gets  cleared in the Bank.
• You accept that you will operate within the Law of the country while servicing clients forwarded to you and Peacock Financial Advisors would not be liable for your misconduct or un-lawful activity and behaviour.
• You declare that you are not involved in any illegal activity and no case is pending to you in the judicial courts of India.

• Fees / Expenses & Deposit Amount

• The Client will have to Deposit a Advance Amount with Peacock Financial Advisors Pvt. Ltd.
• Peacock Financial Advisors Pvt. Ltd will charge per lead  as fees for providing the Leads and/or inquiries of  visitor seeking Insurance, based on mutual  understanding between both the parties.
• The fees structure  as agreed between the parties would form the part of this MOU.
• The Client  will have to deposit an advance amount with Peacock Financial Advisors  Pvt. Ltd. based on mutual agreement  between both the parties.
• The advance amount will be charged regularly depending on the fees agreed by both the parties and number of leads forwarded to the Client.
• Accounts will be settled on the last day of every month. We would send you a account statement every month on the last day, and the bills will have to be cleared within 7 working days from the day of receipt of the bills.
• The account statement will be sent to the Client on a monthly basis at the end of the month or on the first week of the next month and any discrepancy in the accounts , number of Leads forwarded and number of invalid Leads would be resolved by mutual understanding.

         Mutual Non-disclosure
                                

• Peacock Financial Advisors Pvt. Ltd would not share/ disclose any information related to its company and/or its websites and/or subsidiaries and/or its employees/officers and/or its business function/activities which does not form part of this “ MOU” with the Client
• Both the parties agree not to  disclose the details of the this Agreement to any third party  without the consent of the other party.
• The Leads / Details of the visitor forwarded to the Client are highly Confidential in nature and the  Client agrees to keep it  strictly confidential and this information shall not be sold, traded, published or otherwise disclosed to anyone in any manner whatsoever, including by means reproduction, without the Service Provider’s prior written consent.
• The Leads generated by the Service Provider is Confidential Information and shall remain the property of the Service Provider , even after it has been forwarded to the Client. The Client agrees to hold all Confidential Information in trust and confidence, both during and after the term of this Agreement and agrees not to disclose to any person, firm or corporation. 
• No amendments, changes or modifications to this Agreement shall be valid except if the same are in writing and signed by a duly authorized representative of each of the Parties hereto.
• Both the parties shall keep  all communications, data ,content or any other information exchanged between  them by any means written and/or verbal  highly confidential.
• Both the parties agree they shall not disclose the Working/ Functioning  and/or  Secrets Information  critical to their  Business Survival to anyone without the written consent of each of the Parties hereto. 

         Ownership of work product

• Peacock Financial Advisors Pvt. Ltd would generate leads from its website “Getmeinsure.com” and forward it to the Client.
• The leads would be forwarded by the Service Provider to the Client through E-mails only in the normal course  of business. Special cases can be considered where the client has requested for sending leads through Fax or by post and the Service Provider reserves  right to consider these special cases and also reserves the right to charge a fees for the service over and above the fees payable by the client.
• This Agreement is strictly non-transferable .The Client shall have on rights to create any sub-agreement or assign or otherwise transfer  the  rights of this agreement.
• The Parties agree that  this agreement does not by any means create or transfers any ownership rights to each other.
• The Client shall not use or grant permit to any other third party and/or its Subsidiaries/Agents/Brokers/Affiliates  to use the leads/ details of the visitors for any illegal or immoral purpose and use the details provided by the Service Provider in accordance to the Indian Law.
• The Service Provider shall not be held liable for any expenses incurred by the Client for making Communication, Sales ,Transportation, Postage , Commission Paid or any other Financial expenses incurred by the Client to acquire the business from the leads forwarded by the Service Provider.
• The Service Provider does not by any means takes Responsibility and/or Guarantee’s  that the Client will gain and/or generate any Business/Revenue’s  from the Leads forwarded to the Client.

         Duration and Termination
                       

• The duration of this agreement will be as per the application and will start  months from the date of signing this agreement between both the parties.
• Both the parties can terminate this agreement by giving a 15 days notice to each other by giving a  written termination  letter by Fax, E-mail or by sending a letter by normal post.
• In case the Client is not able to provide a advance deposit amount within 10 days of intimation by the service provider this agreement terminates automatically.
• The Agreement terminates automatically in the following circumstances.

• If either of the parties is declared insolvent or bankrupt or is liquidated or if being a firm is dissolved.
• If the Government or any other Government Authority requires any provision of this Agreement to be revised in such a way as to cause significant adverse consequence to any of the parties.
• If there is a change in the Law governing both the parties and it adversely causes significant consequence to any of the parties.
• If either  of the parties is found to violate and/or not comply with the Clauses of this Agreement.

         Limitation of liability

• Peacock Financial Advisors makes no representation or warrant other than those set forth in this Agreement . Peacock Financial Advisors Pvt. Ltd expressly disclaims all other warranties , express or implied.
• Peacock Financial Advisors and/or its Directors and employees and/or our website “getmeinsure.com “ will not be held liable for any data on the website or any information or content and actions taken by site users on our website or otherwise.

         Dispute Resolution

• This Agreement shall be governed by and interpreted in accordance with the laws of India. In the event of any dispute(s) or differences arising between the parties hereto, such dispute shall be referred to Arbitration of a common arbitrator, if agreed upon, otherwise to two arbitrators, one to be appointed by each party to this agreement who shall appoint an umpire and the Arbitration & Conciliation Act, 1996, and subsequent amendments thereto, of India shall govern such arbitration.
• Any notice required to be given hereunder by any Parties shall be given in writing and should be considered to have been well and sufficiently given, for the purpose of this Agreement, if mailed by prepaid registered mail, telescoped or sent by other form of telecommunication to, or delivered to, the address of the respective Parties as mentioned herein above.

         Jurisdiction

• The Client accept that the Courts in Pune alone shall have exclusive jurisdiction as regards any claims or matters arising out of dealings with Peacock Financial Advisors Pvt. Ltd, and all disputes will be governed by the laws of India.

• Payment by Client

Peacock Financial Advisors Pvt. Ltd will not accept any payment in CASH. Payment by the client will have to be in Cheque/ Demand Draft or direct credit to our bank account.
